Matthew C. Sferrazza is an Associate with G&B Law. He advises clients ranging from new startups to established companies, as well as both individual and institutional investors.
Mr. Sferrazza’s practice includes handling transactions for public companies (e.g., mergers, IPOs) and for private and startup enterprises, including venture capital financings (e.g., Series Seed, A, B, etc.) under Regulation D and Section 4(a)(2), as well as various crowd funding transactions under Regulations A+ and CF. He also routinely manages a full range of general corporate matters that arise in the standard course of business for both large and small companies.
He has drafted complex disclosures for filings required by the SEC under the Securities Exchange Act of 1934 and Securities Act of 1933, including registration statements, annual reports, quarterly reports, current reports, and proxy statements. Mr. Sferrazza has significant corporate governance experience and has advised clients facing hostile takeovers, facilitated internal investigations, and drafted related governance documents (e.g. committee charters, disclosure policies, etc.).
Prior to joining G&B Law, Mr. Sferrazza practiced for several years at both large and boutique law firms in New York City and Los Angeles. While participating in the SEC’s Law Student Honors Program for the Division of Enforcement in the Asset Management Unit at the New York Regional Office, he helped prosecute investment funds, investment advisers, and their principals under the Investment Company and Advisors Acts of 1940, the Exchange Act, and the Securities Act. Before attending law school, Mr. Sferrazza was a Teach for America Corps Member and taught 6th grade math and English in the Crenshaw district of Los Angeles.
